These Terms of Service ("Terms") govern your access to and use of the website, services, and back-office support provided by Broadwell Management ("Broadwell," "we," "us," or "our"). By engaging our services or using broadwellmanagement.com, you ("Client" or "you") agree to these Terms. Please read them carefully.
01Services Provided
Broadwell provides administrative, listing coordination, marketing, transaction-support, and related back-office services as described on our website and in your service agreement. The specific scope, deliverables, and turnaround expectations are defined by the plan you select and any written statement of work agreed between us.
02Client Responsibilities
To deliver our services, you agree to:
- Provide timely, accurate access to the software, accounts, and information required for us to perform the work.
- Maintain all required real estate licensure and provide licensed oversight of every activity that legally requires it.
- Review, approve, and execute all listings, contracts, disclosures, and negotiations yourself.
- Ensure that tasks you assign comply with applicable law, MLS rules, and your brokerage's policies.
03Fees & Billing
Services are billed at the flat monthly rate (or custom rate) stated in your plan. Fees are billed in advance and are due on the recurring billing date. Premium add-ons, where selected, are billed in addition to the base rate. Unless otherwise stated, fees are non-refundable once a billing period has begun.
04Free Trial
Where a free trial is offered, it applies for the stated period and does not require a credit card to begin. We reserve the right to determine eligibility and to modify or discontinue trial offers at any time. Continued use after the trial period constitutes acceptance of the applicable recurring fees.
05Term & Cancellation
Our services are provided on a month-to-month basis unless otherwise agreed in writing. Either party may cancel with written notice prior to the next billing cycle. Cancellation stops future billing; it does not entitle you to a refund of fees already paid for the current period.
06Confidentiality & Data
We treat your business data, client records, and credentials as confidential and use them solely to perform the services. You retain ownership of your accounts and data at all times. You are responsible for the accuracy and lawful collection of any consumer information you provide to us.
07Compliance & Limitations
Because our staff are unlicensed assistants, we will not — and you agree not to direct us to — engage in licensed real estate activity, including negotiating terms, providing legal or brokerage advice, independently conducting showings, or interpreting contract clauses. Responsibility for regulatory compliance in your jurisdiction remains with you and your brokerage.
08Limitation of Liability
To the fullest extent permitted by law, Broadwell's total liability arising from the services shall not exceed the fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, or for losses resulting from your failure to provide licensed oversight or accurate information.
09Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
10Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute shall be resolved in the state or federal courts located in Florida.
